  4. THE SOFTWARE INSTALLATION.  BY SELECTING THE "AGREE" BUTTON AND INSTALLING 
  5. THE SOFTWARE, YOUR COMPUTER RESELLER ORGANIZATION ("YOU") AGREE TO THESE 
  6. TERMS AND CONDITIONS, AND BY ACCESSING THE DATABASE ESTABLISHED BY TECH DATA
  7. CORPORATION ("TECH DATA") FOR USE WITH THIS SOFTWARE, YOU RECONFIRM YOUR
  8. AGREEMENT.  IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY 
  9. DISCONTINUE THE INSTALLATION BY SELECTING THE "CANCEL" BUTTON, AND BEFORE 
  10. ACCESSING THE DATABASE, RETURN THE ACCOMPANYING PRODUCT CONTAINER AND ITS 
  11. CONTENTS, INCLUDING THE SOFTWARE MEDIA, TO TECH DATA.  THIS LICENSE IS 
  12. EFFECTIVE PERPETUALLY FROM THE DAY YOU INITIALLY ACCESS THE DATABASE, OR FOR
  13. SUCH LESSER PERIOD AS YOU REMAIN AN AUTHORIZED RESELLER OF TECH DATA, 
  14. PROVIDED IN EVERY CASE THAT YOU ACCESS THE DATABASE WITHIN ONE YEAR AFTER 
  15. INITIAL DELIVERY AND EACH SUBSEQUENT ACCESS.

  17. LICENSE

  19. The software and the database are not sold but licensed to you for your internal use in your review,
  20. selection, order preparation and purchasing of Tech Data's products.  Your license is perpetual, 
  21. subject to your maintaining authorized reseller status; nontransferable and nonexclusive; and for 
  22. use only by your employees engaged in your computer reseller business and only in accordance with 
  23. the documentation.  YOU MAY NOT, except as otherwise specified in this License, the User Agreement
  24. or the Tech Data On Line User's Manual (the "Manual"), (a) copy any of the software or the database, 
  25. (b) distribute, rent, sublicense or otherwise transfer or disclose, or (except to access the database
  26. in accordance with the documentation) transmit any of the software or the database electronically, to
  27. any person or entity, (c) modify, translate, merge or prepare derivative works from the software or 
  28. the database, or (d) use any of the software or the database for service bureau or other purposes not 
  29. specified in this License or the documentation. 
  30.  
  31. Software.  The software includes all concepts, user and program interfaces and structures, functionality,
  32. computer code and other technology inherent in the accompanying computer software program and all 
  33. copies of the software.  You may make and maintain one copy of the software per employee making 
  34. authorized use of the software. YOU MAY NOT decompile, disassemble, probe, or otherwise reverse 
  35. engineer the software.

  37. Database.  The database includes all information accessible from Tech Data through the software,
  38. which may include, but is not limited to, data structures, technical and other specifications, pricing, 
  39. advice and other data or information.  All data and other information available on the database or 
  40. through the software is proprietary, confidential and the sole property of Tech Data.  Such data and
  41. other information can only be used for the purpose of an inquiry and placing orders with Tech Data via 
  42. the software.

  44. DISCLAIMER OF WARRANTY; LIMITATION OF REMEDIES 
  45.  
  46. Tech Data is licensing the software program "AS IS."  You acknowledge that this program is licensed for
  47. use by you as a convenience for you in communicating with Tech Data.

  49. TECH DATA HEREBY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS,
  50. STATUTORY OR OTHERWISE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
  51. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  52. PURPOSE.  TECH DATA SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY
  53. DAMAGES ARISING FROM OR AS A RESULT OF ANY DELAY, OMISSION OR ERROR IN THE
  54.  ELECTRONIC TRANSMISSION OR RECEIPT OF ANY ORDERS OR OTHERWISE MADE 
  55. PURSUANT TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH 
  56. DAMAGES.  THE DATABASE CONTAINS INFORMATION OBTAINED BY TECH DATA FROM 
  57. MANUFACTURERS AND OTHERS THAT INDUSTRY SOURCES BELIEVE RELIABLE, BUT 
  58. TECH DATA MAKES NO WARRANTY AND DISCLAIMS ALL LIABILITY REGARDING DATABASE
  59. ERRORS AND OMISSIONS, INCLUDING ERRORS OR OMISSIONS IN PRICES STATED.  
  60. YOU AGREE THAT THE SOFTWARE GIVES YOU A SIGNIFICANT BENEFIT FOR MODEST 
  61. ECONOMIC CONSIDERATION.  YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF 
  62. THIS AGREEMENT BY TECH DATA SHALL BE RETURN OF ANY LICENSE FEE PAID BY YOU 
  63. TO TECH DATA.  IN NO EVENT WILL TECH DATA BE LIABLE FOR ANY DIRECT, INDIRECT,
  64.  SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ON ANY LEGAL THEORY 
  65. WHETHER IN CONTRACT, TORT, EQUITY OR AT LAW EVEN IF ADVISED OF THE 
  66. POSSIBILITY OF SUCH DAMAGES.

  68. This License is governed by internal Florida law and the Federal law of copyright.  This License together
  69. with the User Agreement constitutes the entire agreement of the parties related to the subject matter 
  70. hereof.
